This Privacy Policy explains how we at Migoo (together with our affiliates, “Migoo”, “we”, “us”) collect, use, retain, disclose, and process personal data (defined below) in connection with the websites, applications, and services that link to this policy (the “Services”).

1.2 "Personal Data" or "personal data" means data that identifies, relates to, describes, is reasonably capable of being associated with or could, with the other information available, reasonably be linked, directly or indirectly, with a particular individual or household.

1.3 We may also choose or be required by law to provide different or additional disclosures relating to the processing of personal data about residents of certain jurisdictions. Capitalized terms used in this Privacy Policy have the meanings given to them in the Terms of Service, unless otherwise defined.

1.4 We may modify this Privacy Policy from time to time, in which case we will update the last updated date of this Privacy Policy, posting the new Privacy Policy, or providing any other notice required by applicable law. We recommend that you review this Privacy Policy regularly to stay informed of our privacy practices.

2. How We Collect Information About You

2.1 We may collect certain categories of information about you and from a variety of sources. For example, we collect information about you when you interact with us or use or access the Services. The categories of personal data we collect depend on how you interact with us and our Services.

2.2 For example, you may provide us your personal data or other information when you:

• visit, use, or interact with the Services;

• register and/or use the Services or open an account with us (“Account”);

• provide input to the Services, including through prompts, chats, and other content that you upload or submit;

• communicate with us, such as via email, surveys, forms, or through our webpage, app, or social media sites;

• when you link or connect your Account with third-party accounts, applications, platforms, or services, including those that integrate with the Services (“Connected Services”);

• when you grant permissions that authorize us to obtain personal from or via the Connected Services, including your email, calendar, or other access;

• when you grant permissions on your device to share information with us, including if you choose to share your device contacts, photographs, calendar, location, or other access.

2.3 We may also collect personal data automatically from other sources and third parties. For example, we may obtain information about you from other third parties, including analytics providers, or from business partners and other companies that we partner with to provide you with access to the Services, including based on information you provide to us.

2.4 Any information you provide, including via the Connected Services, or that we receive from third-party sources will be treated in accordance with this Privacy Policy. We are not responsible for the accuracy of the information provided to us by you or any third parties, and we are not responsible for any third party’s policies or practices.

3. Information You Provide to Us

3.1 Some features of the Services may request or require information about you. You may elect not to provide this information, but doing so may prevent you from using or accessing these features. Information that you directly submit includes:

Identifiers and Other Account Information. We may collect identifiers such as name, phone number, email address, mailing address, and user ID, as well as other information associated with your account like your communication preferences. We use this information for purposes including to fulfill our contract with you, provide you with the Services, administer your Account, complete your requests or transactions, communicate with you, and send you marketing communications (in accordance with your preferences). If you invite others to use the Services, we will collect their email address from you to send the invitation.

User Content. You can input, upload, make accessible, and submit information, instructions, and other materials into Migoo ("Input"). This includes any files, documents, audio, videos, images, data, calendar information, contact information, messages and other communications, you provide or make accessible to us, either directly or through any third-party applications or Connected Services you choose to integrate with the Services. Based on your Input, Migoo will use various AI tools and functionalities, including third-party providers and applications, to generate text, images, video, and other responses (“Output”) or to carry out actions on your behalf (“Actions”). We use this information to provide the Services to you, to learn about you and your preferences, and to improve and personalize the Input, Output, and Actions we can provide to you. The information that you make accessible to us via the Connected Services may inform and modify the Input used in providing the Services to you and, accordingly, may also be reproduced in the Output or reflected in the Actions provided.

Feedback and Support Information. We appreciate your feedback. We may collect information contained in your feedback, including the contents of messages sent through forms, chat, email, social media, or other channels available to customers. We use this information primarily to investigate and respond to your inquiries, to communicate with you, and to improve the Services.

4. Information Collected Automatically

4.1 We and certain third parties may automatically collect information about how you access, use, and interact with the Services, including:

Internet or Other Electronic Activity Information. This may include your device type, manufacturer, and model, operating system, IP address, browser type, Internet service provider, and unique identifiers associated with you, your device, or your network (including, for example, a persistent device identifier or advertising ID, where applicable). This may also include information about your use of and interactions with the Services, including information about the browsers or applications you use to access the Services and the actions you take on the Services, including click, scroll, and keystroke data, time stamps, impressions, and log data.

Log and Troubleshooting Information. We may collect information about how the Services perform when you use them. For example, if your device experiences an error, we may collect information about the error, the time the error occurred, the feature being used, the state of the application, and communications or content provided at the time the error occurred.

Information About Your Location. This could include your precise location or the approximate location that we or our third-party providers may derive from your IP address. If you make map or location data accessible to us, we may collect other information about your location and location history.

4.2 This information may be collected through the use of our own and our third-party partners' automatic data collection technologies, including through the use of cookies, pixels, scripts, and other small data files (collectively, “cookies”) that may be stored on an individual's computer or device. Information we collect automatically about you may be combined with other personal data we collect directly from you or receive from other sources. For more information on cookie-related choices that may be available to you, see the Your Rights and Choices section below.

4.3 Information collected through these tools allows us to recognize you, tailor features and content to you, and improve your user experience. For example, we may use this information to enhance and personalize your user experience, to monitor and improve the Services, to offer communications features such as live and automated chat, and to improve the effectiveness of our products, services, offers, advertising, communications and customer service. We may also use this information to remember information so that you will not have to re-enter it during your visit or the next time you visit the site; provide custom, personalized content and information, including targeted content and advertising (with your consent); identify you across multiple devices or sessions; provide and monitor the effectiveness of the Services; monitor aggregate metrics such as total number of visitors, traffic, usage, and demographic patterns on our website; diagnose or fix technology problems; and otherwise to plan for and enhance the Services.

4.4 Please note that blocking automatic data collection technologies through third-party tools and features may negatively impact your experience using our services, as some features and offerings may not work properly or at all. Depending on the third-party tool or feature you use, you may not be able to block all automatic data collection technologies or you may need to update your preferences on multiple services, devices or browsers. We do not have any control over these third-party tools and features and are not responsible if they do not function as intended.

5. Information Collected from Other Sources

5.1 We may obtain information about you that you choose to share with us from third parties and, in some cases, directly from third parties. In addition to information that you provide to us through the Connected Services, this includes:

Single sign-on information. We provide you the ability to log in to the Services through certain third-party accounts you maintain, such as Apple or Google. When you use these features to access the Services, we do not receive your login credentials for the relevant third-party service. Instead, we receive tokens to identify you in our system and confirm that you successfully authenticated through the single sign-on protocol. This information allows us to more easily provide you access to the Services.

Social media information. When you interact with the Services through social media platforms, such as when you follow us or connect your social media account with the Services, we may receive some information that you permit the social media platform to share with third parties. The data we receive is dependent upon your privacy settings with the social media platform, and may include your profile information, profile picture, username, and any other information you permit the social network to share with third parties. You should review and, if necessary, adjust your privacy settings on third-party websites and social media platforms before sharing information or linking them to the Services. We use this information primarily to operate, maintain, and provide to you the features and functionality of the Services, as well as to communicate directly with you, such as to send you messages about features that may be of interest to you.

Partner information. This includes information we receive from other businesses and companies we partner with, which we use in our legitimate interests to provide you with access to the Services.

Public information. We may also collect personal data and information from publicly accessible sources, such as information that’s publicly available online (like articles, websites, and journals) or from other public sources, which we use to better understand you and your preferences.

6. How We Use Personal Data

6.1 In addition to the purposes already described above, we may use personal data we collect:

• to fulfill or meet the reason the information was provided, such as to fulfill our contractual obligations and provide you with the Services;

• to create and maintain Accounts for our users, including by verifying your identity and entitlement to the Services;

• to process your Input, provide Output, or undertake Actions on your behalf;

• to create your user profile and infer information about you, such as your interests and preferences;

• to communicate with you, including via email, text message, chat, social media and/or telephone calls;

• to request and respond to feedback or complaints relating to the Services;

• to administer, improve, and personalize the Services, including by developing an understanding of your interests and preferences to deliver better Services, recognizing you and remembering your information when you return to the Services, and scanning, analyzing, and reviewing user content, messages, interactions, and associated metadata using our own and others’ technologies;

• to train and improve our or our business partners’ models, subject to applicable law;

• to conduct research and identify and analyze the Services and how you use and interact with the Services;

• to create aggregated or de-identified information that cannot reasonably be used to identify you, which we may use for the purposes described here, such as to analyze the way the Services are being used, to improve and add features to them, and to conduct research;

• to detect, prevent, investigate, or provide notice of any illegal, deceptive, or malicious activity, fraud, security breach, or other misuses of the Services or systems and to protect the security and safety of us, our users, our systems and Services, and other third parties, including by monitoring any Input, Output, or Actions;

• to defend, protect, or enforce our rights or applicable contracts and agreements (including our Terms of Service), as well as to resolve disputes, to carry out our obligations and enforce our rights, and to protect our business interests and the interests and rights of third parties;

• to comply with contractual and legal obligations and requirements and to protect the rights, privacy, safety, or property of us, our users, and third parties; and

• to fulfill any other purpose for which you have otherwise consented or for which we have a legitimate basis.

6.2 To the extent the laws in your jurisdiction do not recognize the legal basis of legitimate interest or another legal basis specified herein for a particular purpose, you consent to the collection, storage, and processing of your personal information for that purpose through using the Services.

7. Disclosure of Your Information

7.1 We may disclose your information to other parties subject to this Privacy Policy, including the following:

Authorized third-party vendors and service providers. We may share your information with vendors, contractors, or other service providers who help us provide the Services, including for system administration, cloud storage, generative AI and content creation, security, customer transaction facilitation and relationship management, marketing communications, web analytics, payment networks, and payment processing. Your inputs and information may also be routed to AI models or providers such as OpenAI, Anthropic, Google, and other selected providers, who process data under their own respective privacy policies. Subject to applicable law, authorized third-party vendors may also include our advertising partners, who we may work with in connection with certain services to deliver advertising, as well as to provide advertising-related services such as reporting, attribution, analytics, and market research.

Affiliated companies. We may disclose your information to our subsidiaries, parents, affiliates, and related corporations.

Other Third Parties, including the Connected Services. We may disclose your information to other third parties, such as when you request or direct us to, including by linking or integrating your Account with other accounts you hold at the Connected Services, social media platforms, or other third parties. This would include the situation where you instruct the Services to take Actions on your behalf through or using the Connected Services, such as sending an email or editing a calendar entry on your behalf, or by using login integrations to make Output or other information visible to other individuals, including other users of Migoo. We do this as necessary for the performance of a contract, in our legitimate interest to provide you with access to the Services and integrations with third parties, or with your consent.

Professional advisors. As necessary, we will share your personal information with professional advisors such as auditors, law firms, or accounting firms.

In connection with a business transaction or reorganization. We or our affiliates companies may take part in or be involved with a business transaction or reorganization, such as a merger, acquisition, joint venture, or financing or sale of company assets. We may disclose, transfer, or assign personal data to a third party during negotiation of, in connection with, or as an asset in such a business transaction or reorganization. Also, in the unlikely event of our bankruptcy, receivership, or insolvency, your personal data may be disclosed, transferred, or assigned to third parties in connection with the proceedings or disposition of our assets.

To protect our and our users’ rights or in response to our legal obligations. We may also disclose your information if we, in our sole discretion, believe it is reasonably necessary (i) to comply with applicable law, (ii) to cooperate or comply with law enforcement, judicial orders, or regulatory inquiries, (iii) to enforce our Terms or policies, (iv) to respond to threatened or actual claims asserted against us or claims that conduct or actions relating to your use of the Services have violated the rights of third parties, and (v) to ensure the safety and security of our business, employees, users, other individuals, and the public. We do this in our legitimate interest to protect our Service and business and to comply with applicable law.

With your consent. We may share information for any other purposes pursuant to your consent or at your direction.

Our websites and other services may include links to or redirect you to third-party websites, plug-ins, applications, or other services. Third-party websites and other services may also reference or link to our websites and services. This Privacy Policy does not apply to any personal data practices of these third-party websites, plug-ins, applications, or other services. 8. Data Transfers

8.1 When you access our website or Services, you understand and agree that your personal data may be transferred to or stored outside your jurisdiction where you reside, where our servers, affiliates, or third party service providers are located. This may be a direct provision of your personal data to us, or a transfer that we or a third party make. We take measures to ensure that any parties to whom data is transferred process and store data in accordance with applicable law and the standards set forth in this Privacy Policy, and we only transfer data pursuant to legally valid transfer mechanisms.

9. Data Security and Retention

9.1 We have implemented commercially reasonable technical, administrative, physical, and organizational safeguards that are designed to protect your personal data. In addition, we take steps designed to ensure any third party with whom we share personal data provides a similar level of protection. However, despite these controls, no security measures are impenetrable, and we cannot completely ensure or warrant the security of your personal data. You should take special care in deciding what information you provide to the Services and what channels you use to transmit such information.

9.2 We may process personal data in an aggregated or de-identified form to analyze the effectiveness of the Services, conduct research, study user behavior and usage data, implement and improve our trust and safety classifications, and improve the Services as permitted under applicable laws.

9.3 We retain your personal data for as long as reasonably necessary to fulfill the purposes for which it was collected, including to satisfy any legal, accounting, or reporting requirements outlined in this Privacy Policy. The retention period may vary according to certain criteria, such as the context of the processing and our legal obligations, including whether we need the information to continue to provide you the Services, resolve a dispute, enforce our contractual agreements, prevent harm, promote safety, security and integrity, or protect ourselves, including our rights, property or products.

10. Children

10.1 The Services are not directed to or intended for children under the age of 18. We do not knowingly collect personal data from anyone under the age of 18, nor is any part of the Services directed to them. As a parent or legal guardian, please do not allow such children under your care to submit personal data to the Services. Please consult our Terms of Service for more information.

10.2 If you believe that a child under the age of 18 in your care disclosed personal data to us, please contact our data protection officer at dpo@migoo.ai. We will investigate any notification and, if appropriate, delete any Account used exclusively by such children and/or delete any personal data submitted as required by applicable law.

11. Your Rights and Choices

11.1 Your privacy is important to us and we strive to prioritize the protection of your personal data and compliance with all applicable privacy laws.

11.2 Depending on the laws in your jurisdiction or place of residence, you may enjoy certain rights regarding your personal data, as described further below. However, please be aware that these rights are limited, and we may also decline certain requests if we have a legal basis for doing so.

11.3 Below are rights which you may have, subject to the laws in your jurisdiction or place of residence:

• The right to know certain information about our processing of your Personal Data, including the right to access your Personal Data, often in a portable format;

• The right to request deletion of your Personal Data;

• The right to update and correct your Personal Data;

• The right to withdraw your consent with respect to certain processing or certain categories of Personal Data; and

• The right to be free from retaliation relating to the exercise of any of your privacy rights.

11.4 We don’t “sell” Personal Data or “share” Personal Data for cross-contextual behavioral advertising, and we do not process Personal Data for “targeted advertising” purposes (as those terms are defined under state privacy laws).

11.5 Depending on your jurisdiction, you may be able to choose or limit which cookies are used when you use our Services or control the way in which your devices permit the use of cookies, such as through your browser or device settings. Note that blocking or deleting cookies may cause some of the Services, including certain features and general functionality, to work incorrectly; for example, doing so may mean we may not be able to recognize you across sessions or devices or remember some of your preferences. You may also opt out of tracking by Google Analytics here. Some mobile and web browsers transmit "do-not-track" signals. Because of differences in how web browsers incorporate and activate this feature, it is not always clear whether users intend for these signals to be transmitted, or whether they even are aware of them. We currently do not take action in response to these signals.

11.6 While we may process information about you that may be considered sensitive, we only process such information in accordance with applicable law, such as to provide the product or service you request from us, or consistent with your consent. The Services are not intended for any purpose that may be considered “high risk” under applicable laws or for making credit, educational, employment, housing, insurance, legal, medical, tax, or other important decisions about users or other persons. We also do not share your information with third parties for their own direct marketing purposes, nor do we engage in profiling which results in legal or similarly significant effects, as defined under applicable law.

11.7 To exercise your rights, you or an authorized agent may contact our Data Protection Officer at the contact information set forth below. We will process such requests in accordance with applicable laws, but please note that we may not be able to modify or delete your personal data in all circumstances. To protect your privacy, we may need to take steps to verify your identity before fulfilling your request. We will not discriminate against you for the exercise of your privacy rights.

11.8 Depending on where you reside, you may have the right to appeal a decision we make relating to requests to exercise your rights, which you can do by contacting our Data Protection Officer. If you think we have infringed data protection laws, you can file a claim with the data protection supervisory authority, generally in the jurisdiction in which you reside or where you think we have infringed data protection laws.

11.9 Beyond the rights described above, we also provide you with a number of controls over your Personal Data and how it is used. You can always change these settings in your account. These include the following controls:

• you may delete your Account or remove our application from your device.

• you can unsubscribe from marketing communications you receive from us by using the choices provided in those communications.

• you can remove or limit permissions, access, and linked third-party accounts that you have given us access to, either through the Services or in some cases on the third party’s website or application.

• For example, you can review and revoke permissions granted to the Services at any time through your Google Account security settings here: https://myaccount.google.com/security. Revoking permissions may limit or disable the availability or functionality of the Services.

• Similarly, many mobile devices allow you to change your permissions to prevent the Services from accessing certain information from your device (such as your contact lists, photos, or geolocation data).

• Many social media platforms allow you to change your platform permissions to prevent integrated products and services from accessing certain types of information connected with your profile.

• Please refer to your device, browser, or platform provider's user guides for additional information about implementing any available platform-specific opt-outs.
